Our Client Agreement:
This agreement is between Debbie Shadid, Inc. (herein named as COACH) and Enrolling Client (herein named CLIENT) in any of our coaching programs or courses, including The FAST TRACK, VIP, or ELITE Coaching Experiences inside of the Business Building Boutique for Coaches and participation in the Design. Live. Thrive Summit (herein named the program)
PROGRAM FEES & PAYMENT TERMS
The program fee is non-refundable. All agreed-upon payments must be made as promised by agreeing to this contract. This is not a month-to-month membership. If you selected the monthly payment option, you will be billed each month according to the date you joined until the obligation is completed. By committing to this process, you are committing to follow this program to see results.
PROGRAM ACCESS & TRAINING
The Business Building Boutique program(s) is a curated collection of everything a coach will need to know to build and grow a profitable business. We encourage you to attend coaching sessions, but we also understand you will, on occasion, have other commitments, so all sessions are recorded and added to the client portal.
Access to all training materials and the client portal ends when the CLIENT's original program term expires. If the CLIENT chooses to continue month-to-month after their initial term, access to training will continue for as long as the CLIENT remains actively enrolled and payments are current.
PROPRIETARY RESOURCES, TOOLS & DELIVERABLES
Upon enrollment, the CLIENT receives immediate access to proprietary resources, frameworks, and done-for-you assets developed exclusively by COACH. These materials represent agency-level work and intellectual property that the CLIENT owns upon completion and may use in their business. The combined value of these resources includes:
Marketing Message Development with GPT Integration & Complete Website Copy ($2,497), Niche Selection & Research Tool Access ($497), Professional Brand Development Process with GPT Integration ($997), Proprietary Framework Guidebook ($397), Website Template & Customizable Coach-Specific Graphics ($997). Total Deliverable Value: $5,385
In addition to these tangible deliverables, the CLIENT receives personalized feedback, reviews, and coaching on all work product created using these tools and frameworks.
Because the CLIENT receives immediate access to these proprietary materials and resources upon enrollment—materials that would otherwise require separate purchase through our VIP, FAST TRACK, Elite, or Private Coaching offerings—all program fees are non-refundable regardless of program completion status.
DONE-FOR-YOU & DONE-WITH-YOU SERVICES
The CLIENT understands that COACH provides Done-for-You (DFY) and Done-with-You (DWY) services that are custom-created based on the CLIENT's unique niche, brand preferences, voice, and business goals.
Timeline & Client Responsibilities: These services are delivered within the agreed-upon timeline, provided the CLIENT fulfills their responsibilities as outlined, including but not limited to: completing intake questionnaires, providing requested information, attending scheduled calls, submitting feedback, and responding to communications within the timeframes specified by COACH. Delays caused by the CLIENT's failure to meet these responsibilities will extend the project timeline accordingly. COACH is not responsible for delays resulting from the CLIENT's non-responsiveness or failure to complete required tasks.
Ownership & Non-Refundable Terms: Upon project completion, all custom materials created for the CLIENT become the CLIENT's sole property. Because these deliverables are personalized specifically to the CLIENT's niche, brand, and business; created using proprietary frameworks and processes; and unable to be resold, repurposed, or reused for any other client—all fees for Done-for-You and Done-with-You services are non-refundable once work has commenced. The CLIENT acknowledges that requesting a refund for custom work that has been started or completed is not permitted, as COACH has invested time, expertise, and resources that cannot be recovered.
CLIENT COMMITMENTS
For our relationship to achieve the maximum result, the COACH asks that the CLIENT agree to the following:
Please commit to your goal and the work we will do together. Attend our private or group coaching sessions and engage with the COACH and other group members when in a group format. Please arrive on time on ZOOM with your camera on and be in a place without distractions. We want this to be a positive experience for all attending.
Be willing to make changes recommended by the COACH. Commit to staying engaged despite the possibility of discomfort you could experience when learning new things.
Commit to the action plans you create and implement.
If you have questions about the program process or something the COACH has suggested, please discuss it with the COACH and communicate feedback to better address desired goals.
NATURE OF COACHING SERVICES
The service provided to the CLIENT by the COACH or any of the COACH's contractors is COACHING for your business growth and development. COACHING, which is not directive advice, counseling, or therapy, may address overall goals, specific projects, or general conditions in the CLIENT's life or profession. COACHING services may include setting priorities, establishing goals, identifying resources, brainstorming, creating action plans, asking clarifying questions, and providing models, examples, and in-the-moment skills training.
The COACH will engage in direct and personal conversations with the CLIENT throughout the relationship, including asking detailed questions and making requests. These interactions aim to remind the CLIENT of their intentions and COACH them to realize them. The COACH may share CLIENT success stories to inspire others to join. The CLIENT is responsible for their own results.
WARRANTIES & LIABILITY
Except as expressly provided in this agreement, the COACH makes no guarantees or warranties, express or implied. In no event will the COACH be liable to the Client for consequential or special damages. Notwithstanding any damages that the Client may incur, the COACH's entire liability under this agreement, and the Client's exclusive remedy, will be limited to the amount paid by the Client to the COACH under this agreement for all services rendered up until the termination date.
DISPUTE RESOLUTION
If a dispute arises out of this agreement that cannot be resolved by mutual consent, the Client and COACH agree to attempt to mediate in good faith for up to 30 days after the notice is given. Any actions taken past mediation will be held in Oklahoma.
ENTIRE AGREEMENT
This is the entire agreement of the parties and reflects a complete understanding of the parties with respect to the subject matter. This agreement supersedes all prior written and oral representations.
The CLIENT's first payment or full payment for this invoice(s) indicates compliance with the above requests and understanding of the services provided in The Business Building Boutique Program(s).
